vivisor Subscriber Agreement
Version 1.4 — Effective 20 July 2026
This Subscriber Agreement ("Agreement") is between you ("Subscriber", "you") and vivisor ("vivisor", "we", "us"). By submitting an application, ticking the agreement checkbox during registration, or using vivisor's paid services, you agree to be bound by this Agreement, our Privacy Policy, Cookie Policy, Website Terms of Business and Review Policy (where applicable).

1. The Services
vivisor operates an online marketplace connecting members of the public with regulated financial advisors and financial product providers in Ireland.
Paid subscriptions provide access to features such as a public profile, enquiry inbox, profile analytics and other services described on our pricing page. We may enhance or modify the Services from time to time, but we will not materially reduce the features included within an active paid subscription without reasonable notice.

1A. vivisor's Role
vivisor acts solely as an online introduction platform that connects members of the public with financial advisors and financial product providers.
vivisor does not provide financial, investment, pension, mortgage, insurance or any other regulated financial advice. vivisor does not recommend, assess the suitability of, arrange or facilitate regulated financial products or services.
vivisor is not a party to any agreement entered into between a user and a Subscriber following an introduction made through the platform.
The decision to contact or engage a Subscriber rests entirely with the user. Any engagement, advice, recommendation or regulated financial service provided after an introduction is solely between the user and the Subscriber.
Each Subscriber is independently responsible for ensuring that all advice, recommendations and services provided through or following an introduction via vivisor comply with all applicable laws, regulations, professional standards and any requirements of the Central Bank of Ireland.
vivisor accepts no responsibility or liability for any financial advice, recommendations, products or professional services provided by a Subscriber.

2. Eligibility & Accuracy
You confirm that:
- You are authorised to enter into this Agreement on behalf of yourself or the business you represent.
- Where applicable, you hold the necessary authorisations, licences or registrations required to provide the services described on your profile.
- For regulated financial advisors, you hold current authorisation from the Central Bank of Ireland or an equivalent regulatory authorisation permitting you to provide the services advertised.
- All information you provide, including qualifications, regulatory references, business details, contact information and marketing claims, is accurate, complete and not misleading.
If any of the above ceases to be true, you must notify vivisor promptly. We may suspend or terminate your listing where we reasonably believe these representations are inaccurate or no longer valid.

3. Fees, Renewal & Taxes
Subscription fees are displayed during checkout.
Annual subscriptions are billed in advance.
Subscriptions renew automatically at the end of each billing period using your selected payment method unless cancelled before the renewal date.
vivisor may change its subscription fees from time to time. Any change to subscription fees will not affect the current subscription term and will take effect from the Subscriber's next renewal date. We will provide at least 30 days' notice before the new pricing takes effect. If you do not wish to renew at the revised price, you may cancel your subscription before your renewal date.
Irish VAT will be added where applicable. You remain responsible for any taxes applicable to your business.
Payments are securely processed by Stripe. vivisor does not store your full payment card details.

4. Cancellation & Suspension
You may cancel your subscription at any time through the "Manage Subscription" section of your account.
Cancellation takes effect at the end of your current paid subscription period. No partial refunds are provided for unused subscription periods unless required by law.
You may re-subscribe at any time.
vivisor may suspend or terminate your account immediately where we reasonably believe that:
- you have breached this Agreement;
- you have provided false or misleading information;
- you no longer hold the required regulatory authorisation or qualifications;
- continued access may expose vivisor, its users or third parties to legal, regulatory or security risks.
Where vivisor terminates a subscription for reasons other than breach of this Agreement, we will refund any prepaid subscription fees relating to the unused portion of the subscription.

5. Your Content
You retain ownership of all content you upload to vivisor, including profile information, logos, photographs, qualifications and other materials ("Subscriber Content").
You grant vivisor a worldwide, royalty-free, non-exclusive licence to host, reproduce, display, format, adapt and distribute Subscriber Content for the purpose of operating, improving, promoting and providing the Services.
You are responsible for ensuring your profile remains accurate and up to date. vivisor may request evidence supporting qualifications, regulatory authorisation or other information displayed on your profile.
You warrant that your Subscriber Content:
- is accurate;
- does not infringe any third-party rights;
- complies with applicable law;
- complies with applicable Central Bank of Ireland advertising requirements and consumer protection rules where relevant.
vivisor reserves the right to edit, remove or temporarily disable Subscriber Content that it reasonably believes is inaccurate, misleading, unlawful or inconsistent with this Agreement or applicable law.

5A. Ongoing Credential Validity
Each Subscriber represents that all qualifications, professional designations and memberships displayed on their vivisor profile are, and remain, current, valid and in good standing.
vivisor requires every Subscriber to confirm at least once every twelve (12) months that all listed qualifications and memberships are still valid and active. vivisor will send reminders and provide an in-portal confirmation control for this purpose.
If any qualification, designation, membership or regulatory authorisation is suspended, revoked, lapsed, restricted or otherwise ceases to be valid, the Subscriber must notify vivisor without undue delay and, in any event, within five (5) business days, and update their profile accordingly. vivisor may suspend or remove listings that are not re-confirmed by the due date, or where a Subscriber fails to notify vivisor of a change in status.

6. Acceptable Use
You agree not to:
- Misrepresent your qualifications, regulatory status, fees or independence.
- Publish false or misleading information.
- Solicit reviews that you know to be false or offer incentives in exchange for positive reviews.
- Scrape, copy, reproduce or resell vivisor's marketplace data, advisor profiles or enquiry information.
- Use the platform to send unsolicited marketing communications beyond responding to a user's enquiry.
- Circumvent vivisor's enquiry process in order to avoid applicable subscription or platform fees.
- Share your login credentials or permit unauthorised access to your account.
vivisor may suspend, restrict or terminate accounts that breach this Agreement without refund.

7. Reviews & Enquiries
vivisor takes reasonable steps to verify that reviews originate from genuine users or clients in accordance with the vivisor Review Policy.
vivisor may remove reviews that it reasonably believes are fraudulent, unlawful, abusive or otherwise breach the Review Policy.
You remain responsible for responding to enquiries professionally and in compliance with all applicable legal and regulatory obligations.
Reviews are governed by the vivisor Review Policy, which forms part of this Agreement.
vivisor's role is limited to introducing users to Subscribers through the platform. vivisor does not participate in the provision of regulated financial services, does not assess the suitability of any advice, recommendation or financial product, and does not supervise or control the professional services provided by Subscribers.
Subscribers remain solely responsible for all regulated activities, advice, recommendations and services they provide following an introduction made through vivisor, including compliance with all applicable legal, regulatory and professional obligations.

8. Data Protection
Each party agrees to comply with the General Data Protection Regulation (GDPR), the Irish Data Protection Acts and any other applicable data protection legislation.
Where vivisor processes personal data on your behalf in connection with the Services, the parties agree that vivisor's Data Processing Addendum (available on request or incorporated into these terms) governs that processing.
Once an enquiry has been forwarded to you, you act as an independent data controller for any personal data you subsequently collect or process.

9. Intellectual Property
The vivisor name, logo, website, software, platform functionality and underlying marketplace database remain the exclusive property of vivisor and its licensors.
Nothing in this Agreement transfers ownership of vivisor's intellectual property to you.

10. Warranties & Disclaimers
The Services are provided on an "as available" and "as is" basis.
vivisor does not guarantee any particular number of enquiries, leads, appointments, clients, bookings or revenue.
vivisor does not review, supervise or endorse the financial advice provided by advisors. Responsibility for regulated services remains entirely with the advisor or provider.

11. Limitation of Liability
To the fullest extent permitted by law, neither party shall be liable for indirect, consequential, special or punitive damages, including loss of profits, business, goodwill, reputation or data.
vivisor's total aggregate liability arising under this Agreement shall not exceed the subscription fees paid by you during the twelve months preceding the event giving rise to the claim.
Nothing in this Agreement limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

12. Indemnity
You agree to indemnify and hold vivisor harmless against claims, losses, liabilities, damages and reasonable legal costs arising from:
- your Subscriber Content;
- your breach of this Agreement;
- your breach of applicable law;
- the financial advice or professional services you provide through or following introductions made via vivisor.

13. Changes to this Agreement
vivisor may update this Agreement from time to time.
Where changes are material, we will provide at least 30 days' notice by email and/or through the platform.
If you do not agree to the updated Agreement, you may cancel your subscription before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Agreement.

14. Force Majeure
vivisor shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including internet outages, cyber attacks, natural disasters, governmental actions, power failures or failures of third-party service providers.

15. Governing Law
This Agreement is governed by the laws of Ireland.
The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.
